Terms of Service
Welcome to Roycab. These Terms of Service (the "Terms") govern your access to and use of the Roycab mobile application, website and related services (together, the "Platform"), operated by Borgfy ("Roycab", "we", "us" or "our"), a company organised under the laws of India. Roycab is a technology platform that connects people travelling in the same direction so they can share a ride and its cost. By creating an account or using the Platform, you agree to these Terms. Please read them carefully, together with our Privacy Policy. If you do not agree, please do not use the Platform.
1.Acceptance of These Terms
These Terms form a binding agreement between you and Borgfy (operating the Roycab brand). By registering for an account, logging in, posting or booking a ride, or otherwise using any feature of the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.
These Terms apply to every user, in every role — whether you use Roycab as a rider, a driver, or a vehicle owner. Some features carry additional role-specific rules (for example, the responsibilities of drivers and vehicle owners); where they apply, those rules form part of these Terms.
We may publish supplementary guidelines, community standards or product-specific terms within the app from time to time. Where they exist, they are part of these Terms.
2.Your Rights as a Consumer Always Prevail
Nothing in these Terms limits, excludes or overrides any right, protection or remedy that you have as a consumer under the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, or any other mandatory Indian law. Those rights cannot be signed away.
If any provision of these Terms — for example a limitation of liability, a disclaimer, or a dispute-resolution step — would, in a particular situation, reduce a consumer's statutory rights, that provision is read down to the minimum extent needed to comply with the law, and the rest of these Terms continues to apply. Where these Terms and your statutory consumer rights conflict, your statutory rights win.
3.Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under Indian law to use Roycab. By using the Platform you represent and warrant that you meet this requirement.
- To register as a driver or vehicle owner, you must additionally hold all valid documents required by law to drive and/or to permit your vehicle to be driven in India (see Responsibilities of Drivers and Vehicle Owners).
- You may not use Roycab if you have previously been suspended or removed from the Platform, or if your use would breach any applicable law.
We may, at our discretion, ask you to verify your age, identity or documents at any time, and may restrict or refuse access if you do not meet these requirements.
4.Our Role — A Technology Platform, Not a Transport Provider
Roycab is an intermediary technology platform. We connect riders with independent drivers and vehicle owners who are already making a journey and are willing to share the ride and its cost. Roycab does not own vehicles, does not employ drivers, and does not itself provide transportation services.
Every ride is a private, cost-sharing arrangement entered into directly between a rider and a driver/vehicle owner. Roycab is not a party to that arrangement, is not a transport operator or carrier, and does not sell, resell or provide the ride. Our role is limited to providing the software that helps these users find each other, coordinate, communicate and contribute fairly to shared costs.
Because Roycab does not provide the transportation, the driver/vehicle owner — and not Roycab — is responsible for the journey itself, the condition and legality of the vehicle, and the conduct of the ride, as set out below.
As an intermediary and marketplace under the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, Roycab undertakes the due-diligence, disclosure and grievance-redressal obligations those laws place on it — including displaying relevant provider details, showing an itemised breakup of any amounts payable before you confirm, appointing a Grievance Officer, and not engaging in unfair trade practice or manipulation of price. Affirming these duties is part of how we operate the Platform responsibly; it does not make Roycab the provider of the ride.
5.No Employment, Agency or Partnership
Drivers and vehicle owners are independent persons who use the Platform to share rides they are already taking. Nothing in these Terms or in your use of the Platform creates any employment, agency, partnership, joint-venture or franchise relationship between Roycab and any driver, vehicle owner or rider.
- No driver or vehicle owner is an employee, agent or representative of Roycab, and none has authority to bind Roycab or to make any commitment on its behalf.
- Riders choose to travel with a driver of their own free will and judgement; the driver is not provided, supplied or dispatched by Roycab.
- Roycab does not direct or control how a driver drives, maintains the vehicle, or conducts the journey.
This independence is fundamental to how Roycab works and underpins the responsibilities and limitations of liability set out in these Terms.
6.Account Registration, OTP Login & Security
To use Roycab you must create an account and verify your mobile number using a one-time password (OTP) sent to that number. You agree to provide accurate, current and complete information and to keep it up to date.
- You are responsible for maintaining the confidentiality of your account, your registered device and your OTPs. Do not share your OTP with anyone — Roycab staff will never ask you for it.
- You are responsible for activity that takes place under your account, except to the extent it results from unauthorised access that was not caused by your own negligence and that you report to us promptly. On receiving such a report, we will take reasonable steps to help secure your account.
- Notify us immediately at info@borgfy.com if you suspect any unauthorised use of your account.
- You may hold only one account unless we expressly permit otherwise, and you may not impersonate any person or misrepresent your identity, role or documents.
How we collect, use and protect your personal data — including OTP, location and messaging data — is described in our separate Privacy Policy, which is maintained in accordance with the Digital Personal Data Protection Act, 2023.
7.How Rides Work — Cost-Sharing, With a Price Cap
Roycab is built for genuine carpooling. A driver (or a driver acting for a vehicle owner) posts a trip they are already planning to take, indicating the route, timing and number of seats available. A rider books one or more of those seats and contributes towards the cost of the journey.
- This is cost-sharing, not a commercial taxi service. The contribution a rider pays is a share of the running cost of the trip (such as fuel and wear), not a commercial fare for hire and reward.
- To keep rides a genuine carpool, Roycab applies a price cap. The cap is calibrated to the trip's running costs (for example, distance and fuel) shared across the occupied seats, so that the driver recovers only a fair share of trip costs and does not make a profit from carrying riders.
- Drivers must not collect, and riders must not be asked to pay, any amount above the capped cost-sharing amount the Platform permits for a given trip.
- Seat availability, timing, route and pick-up/drop-off points are set by the driver. Roycab does not guarantee that any particular ride will be posted, booked, accepted or completed.
By using these features you acknowledge that the resulting ride is a private cost-sharing arrangement between the rider and the driver/vehicle owner, and that Roycab merely facilitates it.
8.Responsibilities of Riders
As a rider, you agree to:
- Provide accurate pick-up, drop-off and booking details, and arrive on time at the agreed pick-up point.
- Pay the driver directly for the seats you book, up to the capped cost-sharing amount shown for that trip, by the methods supported in the app. Roycab is not the seller or payee of the ride.
- Behave respectfully and lawfully during the ride, follow reasonable instructions from the driver regarding safety (such as wearing a seatbelt), and not carry any prohibited, illegal or dangerous items.
- Complete OTP boarding verification when prompted, so the driver can confirm the correct rider has joined the trip.
- Treat the vehicle and other occupants with care, and not damage, soil or interfere with the safe operation of the vehicle.
You understand that the driver is an independent person, not an employee or agent of Roycab, and that you choose to travel with them at your own discretion.
9.Responsibilities of Drivers and Vehicle Owners
If you offer rides through Roycab as a driver or vehicle owner, you bear primary responsibility for the ride, the vehicle and the safety of everyone in it. Roycab does not provide the transport and does not control how you drive or maintain your vehicle.
You represent, warrant and agree, on a continuing basis, that:
- You hold a valid and current driving licence appropriate for the vehicle, and the vehicle has valid registration (RC), permit (where applicable), fitness certificate, pollution-under-control (PUC) certificate and a valid motor insurance policy, all as required by law.
- You comply at all times with the Motor Vehicles Act, 1988, its rules, and all other applicable traffic, transport, tax and safety laws.
- The vehicle is roadworthy, properly maintained and safe to carry passengers, and you will not carry more passengers than legally and safely permitted.
- You drive safely, lawfully and responsibly, are fit to drive (not under the influence of alcohol, drugs or fatigue), and you put the safety of riders first.
- Any driver you (as a vehicle owner) authorise to drive the vehicle meets all of the requirements above, and you remain responsible for ensuring this.
- You will not use the Platform to provide commercial transport for profit, to exceed the Platform's price cap, or in any way that would mischaracterise a genuine cost-sharing ride as a taxi/for-hire service.
You acknowledge that any accident, injury, loss, fine, penalty or legal liability arising from the ride, the vehicle or your driving is your responsibility, and not Roycab's, except to the limited extent expressly stated in Limitation of Liability below.
10.Insurance & Accident Claims
Any insurance cover for a ride comes from the driver's own motor insurance policy. Roycab does not provide any rider, passenger, trip or accident insurance of its own.
If you are a rider, please understand:
- Whether you, as a cost-sharing passenger, are covered in the event of an accident depends entirely on the terms of the driver's motor insurance policy and applicable law. Some private-car policies may treat shared-cost passengers differently from purely private use, so cover is a matter between the driver, their insurer and you.
- In the event of an accident, the driver's statutory motor insurance and the claims process under the Motor Vehicles Act, 1988 (including the Motor Accident Claims Tribunal where applicable) govern compensation. You should obtain the driver's and vehicle's details (which the app helps record) and may pursue a claim through that process.
- Roycab will, on reasonable request, provide trip and booking records in our possession to help support a legitimate insurance or accident claim, in line with our Privacy Policy.
Drivers and vehicle owners are responsible for ensuring their insurance is valid and appropriate for the way they use the vehicle on the Platform.
11.Platform Fees, Wallet, Taxes & Refunds
Roycab earns its money from a flat platform fee charged to drivers/vehicle owners for the use of the Platform — for example a fixed fee or subscription. Roycab does not take a percentage commission of the cost-sharing contribution, and does not sell the ride. Riders pay drivers directly for the shared cost of the trip; Roycab is not the merchant, payee or collector of record for the ride.
- Wallet. The Platform provides an in-app wallet, used mainly so drivers can pay or settle their platform fee/subscription conveniently. Any wallet and payment processing is carried out through RBI-authorised third-party payment partners; Roycab does not act as a bank. Wallet balances are not a deposit, do not earn interest, and may be subject to limits and to the rules of those partners. Where any in-app rider-to-driver payment is offered, Roycab acts only as a technology conduit on the driver's behalf via a licensed payment partner — the money belongs to the driver, and Roycab is not the seller of the ride.
- Transparent pricing. The applicable platform fee, any wallet terms, and an itemised breakup of amounts payable will be shown to you in the app before they apply, in line with the Consumer Protection (E-Commerce) Rules, 2020.
- Refunds. Any unused wallet balance is refundable to your source bank account on request or on account closure, subject to KYC and the rules of our payment partners. Where Roycab has collected a platform fee or subscription and a refund is due (for example, a duplicate or failed charge), we will refund it to the original payment method within a reasonable, disclosed timeline. Pre-paid platform fees may also be refunded on a pro-rata basis as described in Suspension & Termination and Changes to These Terms.
- Taxes. You are responsible for your own tax obligations arising from your use of the Platform. Where required by law, applicable taxes (such as GST) may be added to the platform fee, and we will issue documentation as required.
- Roycab is not the seller of the ride and is not a party to the cost-sharing contribution itself, but we will provide reasonable support to help resolve any payment dispute between a rider and a driver.
12.Cancellations & No-Shows
Plans change, and we ask all users to be considerate. If you need to cancel, please do so as early as possible through the app so the seat can be released or another ride found.
- Repeated late cancellations or no-shows — by either riders or drivers — harm other users and may affect your rating, your access to certain features, or your continued use of the Platform.
- Because each ride is a private cost-sharing arrangement, any ride-side consequence of a cancellation or no-show (including any cancellation fee a driver chooses to set, and any refund of the cost-sharing contribution) is primarily a matter between the rider and the driver. Roycab will actively help mediate and resolve such matters in good faith, and any such fee must be reasonable and not penal.
- Where Roycab itself has collected money (for example a platform fee) and a refund is due on cancellation, we will refund it to your original payment method within a reasonable, disclosed timeline. Any Roycab-charged fee relates only to the platform-fee relationship with drivers, not to the ride itself.
- Any fee or adjustment will be disclosed in the app before it is charged.
13.Ratings, Reviews, User Content & Community Conduct
After a ride, riders and drivers may rate and review each other. Ratings help keep the community safe and trustworthy. You agree that any rating, review, message or other content you submit will be honest, based on genuine experience, and free of unlawful, abusive, defamatory or misleading content.
- Ratings, reviews and messages reflect the views of the users who post them. Roycab does not endorse, verify or adopt any user content, and is not responsible for opinions expressed by users.
- We may display, moderate, or remove ratings, reviews and other user content — including content that is unlawful, deceptive or in breach of these Terms — without liability, and may use them to inform decisions about access to the Platform.
- You must treat every other user with courtesy and respect, both during rides and in in-app messaging.
- Attempting to manipulate ratings, post fake reviews, or retaliate against honest feedback is prohibited.
Processing of any personal data contained in user content is governed by our Privacy Policy under the Digital Personal Data Protection Act, 2023.
14.Safety Features & Their Limits
Roycab provides safety-oriented features to support a trustworthy experience, which may include live trip tracking, OTP boarding verification, an SOS / emergency option, in-app messaging, and basic checks on user-provided information. These features are provided on a reasonable-effort basis and operate as described in the app.
These features are aids, not guarantees. Roycab does not conduct exhaustive background checks on every user or vehicle, cannot continuously monitor rides in real time, and cannot guarantee the conduct, identity, fitness or safety of any rider, driver, vehicle owner or vehicle. You are responsible for exercising your own judgement and ordinary caution before and during any ride.
- Use OTP boarding to confirm you are with the correct person and vehicle.
- In an emergency, contact local emergency services directly; the in-app SOS feature is a supplement to, not a substitute for, the emergency services.
- Keep personal and payment information within the app's supported features, and report unsafe behaviour to us promptly.
Live tracking, OTP boarding and SOS generate location and related data. How that data is collected, used and protected is described in our separate Privacy Policy, maintained under the Digital Personal Data Protection Act, 2023.
15.Prohibited Conduct & Acceptable Use
To keep Roycab safe and lawful for everyone, you agree that you will not:
- Use the Platform for any unlawful purpose, or to provide commercial transport for hire and reward, or to circumvent the Platform's price cap or cost-sharing model.
- Provide false, misleading or fraudulent information, impersonate any person, or misrepresent your role, identity, documents or vehicle.
- Drive without the valid licence, registration, permit, fitness, PUC or insurance required by law, or carry passengers in an unsafe or unroadworthy vehicle.
- Harass, threaten, abuse, discriminate against, endanger or harm any other user, or carry illegal, dangerous or prohibited goods.
- Interfere with, disrupt, reverse-engineer, scrape, or attempt to gain unauthorised access to the Platform, its security, or other users' accounts or data.
- Use the Platform to send spam, malware, or unsolicited commercial messages, or to collect other users' data without consent.
Violations may lead to removal of content, suspension or termination of your account, and, where appropriate, referral to law-enforcement authorities.
16.Intermediary Status & Content Takedown
Roycab operates the Platform as an intermediary under the Information Technology Act, 2000 and the rules made under it, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We host and transmit content and information provided by users; we do not originate the ride or the user content posted on the Platform.
- We publish these Terms, our Privacy Policy and our rules of use, and require users not to host, upload or share content that is unlawful or otherwise prohibited under applicable law or these Terms.
- If you believe any content on the Platform is unlawful or infringes your rights, you may report it to our Grievance Officer (see Contact & Grievance Officer). We will acknowledge such a complaint within twenty-four (24) hours and act to resolve it, and where required will remove or disable access to the offending content within fifteen (15) days, in accordance with the applicable rules.
- We will also remove or disable access to content as and when required by a court order or by a lawful direction of an appropriate government authority.
Our role as an intermediary does not make Roycab the author of user content or the provider of any ride.
17.Intellectual Property
The Roycab name, logo, app, website, software, design, text, graphics and all related intellectual property are owned by Borgfy or its licensors and are protected by law. We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Platform for its intended purpose, subject to these Terms.
You may not copy, modify, distribute, sell, license, or create derivative works from any part of the Platform without our prior written consent. Any content you submit (such as profile information, ratings or messages) remains yours, but you grant Borgfy (operating the Roycab brand) a non-exclusive, royalty-free licence to host, display and use that content for the purpose of operating, providing and improving the Platform and the purpose for which you submitted it.
Processing of any personal data within your content is governed by our Privacy Policy under the Digital Personal Data Protection Act, 2023, and the licence over such personal data is co-extensive with your consent and your withdrawal and other rights described there.
18.Third-Party Services & Links
The Platform relies on, and may link to, services provided by third parties — including payment partners, mapping and location providers, and SMS/OTP gateways. These services are operated by the third parties themselves and are governed by their own terms and policies.
- Wallet and payment processing is handled by regulated third-party payment partners; their terms apply to those transactions in addition to ours.
- Maps, routing, location and OTP-delivery services depend on third-party infrastructure that Roycab does not control, and may occasionally be delayed, unavailable or inaccurate.
- We are not responsible for the acts, omissions, content, products or services of third parties, or for any third-party website or service that you access through a link on the Platform.
Your dealings with any third party are between you and that third party.
19.Disclaimers
The Platform is provided on an "as is" and "as available" basis. Because Roycab is an intermediary that facilitates cost-sharing rides and does not itself provide transportation, we do not control, and do not warrant, the conduct of drivers, riders or vehicle owners, the condition or legality of any vehicle, or the timing, quality, safety or completion of any ride.
To the extent permitted by law, we do not warrant that the Platform will be uninterrupted, error-free or completely secure, and our safety features are provided on a reasonable-effort basis as aids rather than guarantees. Nothing in this section excludes or limits any right or protection that you have as a consumer under the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, or other applicable Indian law, or our own liability for any deficiency in the services Roycab actually provides.
20.Limitation of Liability
Roycab facilitates connections between riders and drivers; it does not provide the ride. Accordingly, primary responsibility for the ride, the vehicle and the conduct of the journey rests with the driver and vehicle owner, and not with Roycab.
Subject to applicable Indian law, and without excluding any liability that cannot lawfully be excluded:
- Except to the extent any loss is caused by Roycab's own deficiency in the services it actually provides (the Platform software, its safety features, and the grievance-redressal and due-diligence duties required of us under the Consumer Protection (E-Commerce) Rules, 2020), Roycab is not liable for the acts, omissions, negligence, accidents, injury, loss or damage caused by independent drivers, vehicle owners, riders or other users, or for the condition, legality or safety of any vehicle, as these are outside our control and are the responsibility of the relevant user.
- To the maximum extent permitted by law, Roycab will not be liable for indirect, incidental, special or consequential losses, or for loss of profit, arising out of the use of the Platform.
- Where Roycab is found liable to you in connection with the Platform, our total aggregate liability for any claim will be limited to the greater of (a) the total platform fees you paid to Roycab in the three (3) months before the event giving rise to the claim, or (b) INR 5,000 — so that this cap is never reduced to nil for a rider or any other user who pays Roycab no platform fee. This cap does not apply, and does not reduce any amount payable, where applying it would defeat your rights under the Consumer Protection Act, 2019 or other mandatory Indian law.
This section does not limit liability for death or personal injury caused by our own proven negligence, for fraud, or for any liability that cannot be limited or excluded under the Consumer Protection Act, 2019 or other mandatory Indian law. Roycab does not seek, and you should not read these Terms as claiming, blanket immunity for our own wrongdoing or for any deficiency in the services we ourselves provide.
21.Indemnity
All users. You agree to indemnify, defend and hold harmless Borgfy, its affiliates, and their officers, employees and agents from and against any claims, damages, losses, liabilities, fines, penalties and reasonable expenses (including legal costs) arising out of or relating to: your breach of these Terms or of any applicable law; your misuse of the Platform; content you submit; or your infringement of any third party's rights.
Drivers and vehicle owners. If you use Roycab as a driver or vehicle owner, you additionally agree to indemnify, defend and hold harmless the same parties from and against any claims, damages, losses, liabilities, fines, penalties and reasonable expenses (including legal costs) arising out of or relating to:
- the ride, your driving, or the operation, condition or legality of your vehicle;
- any accident, injury, death or property damage connected with a ride you provide;
- your breach of any representation or warranty in Responsibilities of Drivers and Vehicle Owners, or of any applicable law (including the Motor Vehicles Act, 1988); or
- your failure to hold or maintain a valid licence, registration, permit, fitness, PUC or insurance.
No indemnity in this section extends to losses caused by Roycab's own proven negligence or wilful misconduct, and each indemnity is subject to applicable law.
22.Suspension & Termination
You may stop using Roycab and request closure of your account at any time. We may suspend, restrict or terminate your access to the Platform, in whole or in part, if we reasonably believe that:
- you have breached these Terms or applicable law;
- your conduct poses a risk to the safety, security or trust of other users or the Platform; or
- you no longer meet the eligibility or documentation requirements.
We will give you reasonable prior notice and an opportunity to respond before suspending or terminating your account, except where immediate action is needed to prevent imminent harm, fraud, or a serious safety or legal risk. We will act reasonably and proportionately.
Where we terminate or suspend a driver's or vehicle owner's account for reasons other than that user's own breach, we will refund any pre-paid platform fee or subscription on a pro-rata basis for the unused period. On termination, your right to use the Platform ends; any unused wallet balance will be refunded to your source account in line with Platform Fees, Wallet, Taxes & Refunds, and the obligations listed in Survival continue.
23.Survival
Termination or expiry of these Terms does not affect any rights or obligations that, by their nature, are intended to continue. The following survive termination: outstanding payment and refund obligations; Intellectual Property; Indemnity; Disclaimers; Limitation of Liability; Your Rights as a Consumer Always Prevail; Dispute Resolution; Governing Law & Jurisdiction; any confidentiality obligations; and the General provisions.
On termination, any unused wallet balance is refunded as described in Platform Fees, Wallet, Taxes & Refunds, and any pre-paid platform fee is handled as described in Suspension & Termination.
24.Force Majeure
Roycab is not responsible for any failure or delay in performing its obligations in operating the Platform where that failure or delay is caused by events beyond our reasonable control — including natural disasters, fire, flood, epidemic or pandemic, war, civil unrest, strikes, government action or restrictions, power or internet outages, and failures of third-party infrastructure such as payment partners, mapping/GPS providers, telecom networks or SMS/OTP gateways.
This clause applies only to Roycab's obligations in providing the Platform. It does not relieve a driver or vehicle owner of their responsibilities for the ride, the vehicle and the safety of riders, and it does not limit your statutory consumer rights.
25.Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, the law, or our business. When we make material changes, we will give you reasonable advance notice through the app or by other reasonable means before they take effect, and update the "last updated" date. Changes will not apply retroactively to rides or transactions already entered into.
If you do not agree to a material change, you may stop using the Platform before the change takes effect; if you are a driver or vehicle owner with a pre-paid platform fee or subscription, you may obtain a pro-rata refund of the unused period in that case. Your continued use of the Platform after a change takes effect constitutes your acceptance of the updated Terms.
26.Dispute Resolution
We would like to resolve any concern quickly and amicably. Please first contact our Grievance Officer (below) so we can try to resolve the matter directly. The parties will attempt in good faith to resolve any dispute within thirty (30) days of it being raised.
If you are a consumer (including any rider): nothing in these Terms requires you to arbitrate. You retain the unconditional right to pursue any remedy before the consumer forums under the Consumer Protection Act, 2019, or any other forum the law allows. Arbitration does not apply to, and does not bar, any such consumer complaint.
Arbitration (business disputes only). Any dispute between Roycab and a driver or vehicle owner arising out of the commercial platform-fee relationship that is not resolved amicably within the period above shall be referred to and finally resolved by arbitration conducted under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator appointed neutrally by mutual agreement of the parties, or, failing agreement, appointed in accordance with Section 11 of that Act (no party may unilaterally appoint the arbitrator). The seat and venue of arbitration shall be New Delhi, India, the language shall be English, and the award shall be final and binding.
27.Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or your use of the Platform are governed by and construed in accordance with the laws of India. Subject to the Dispute Resolution section above — including a consumer's right to approach the consumer forums — the courts at New Delhi, India shall have jurisdiction, without prejudice to any forum that a consumer is entitled to choose under applicable law.
28.General
These provisions apply to your overall use of the Platform.
- Severability. If any provision of these Terms is held invalid or unenforceable (for example, a limitation of liability or the arbitration provision as applied to a consumer), that provision will be read down to the minimum extent necessary, any consumer carve-outs will be preserved, and the remaining provisions will continue in full force.
- Entire agreement. These Terms, together with the Privacy Policy and any in-app guidelines or product-specific terms, form the entire agreement between you and Borgfy regarding the Platform and supersede any prior understanding on the subject.
- No waiver. Our failure or delay in enforcing any provision is not a waiver of it, and any waiver must be in writing to be effective.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our consent. Borgfy may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition or sale of assets, on notice to you, provided your rights are not materially reduced.
- Notices & electronic communication. You consent to receive notices and communications from us electronically — in the app, by SMS, or by email — and you agree that such electronic communications satisfy any legal requirement that a communication be in writing. You may contact us at info@borgfy.com.
- Interpretation & headings. Headings are for convenience only and do not affect interpretation. Words such as "including" mean "including without limitation."
- Language. These Terms are written in English. If they are translated into any other language and there is a conflict, the English version prevails.

In line with applicable Indian law, we will acknowledge a complaint within forty-eight (48) hours and aim to resolve it within one (1) month of receipt. For content-related complaints under the intermediary rules, the shorter timelines in Intermediary Status & Content Takedown apply (acknowledgement within 24 hours; removal of offending content where required within 15 days).
